Peaceful Vibrations License for Professional or Group Usage

The license is for one recorded audio from Peaceful Vibrations. Additional licenses must be purchased for every Visualization, Meditation or Affirmation recording that you use beyond your individual use (i.e., professional or group use in seminars, therapy sessions, workshops, coaching, or conferences). A License grants permission as outlined in our license terms below. The license is non-exclusive and non-transferrable and may not be re-sold, given, or hired to any third party. Any other use of the licensed material than set out in this document will be construed as breach of contract. Licensee must purchase a new license for other use of the licensed material than described herein.

The license is valid worldwide and has no geographical limitations.
The license period is for perpetuity.
The license applies to one video or audio recording of a product created by Peaceful Vibrations.

Permitted Uses of Our Intellectual Property
A license allows you to use our guided visualizations, meditations and affirmations for your conferences, video conferencing, live steaming, seminars, coaching, therapy sessions and workshops and for professional use with clients, students, patients or employees in their full unadulterated state.
Credit must be given to Peaceful Vibrations as the creator, producer, and owner of all recordings

Prohibited uses of our Intellectual Property
Editing, shortening, lengthening, addition of sound, music or other voices is not permitted.
Selling or distributing these recordings is not permitted.
Using the title of our visualizations in your advertising is not permitted.
Posting the audio on social media of any form is not permitted. Creating films by combining the audio files with pictures or video is forbidden.
Sub-Licensing is not permitted. You cannot distribute our recordings as part of a production
library or within any kind of media creation software.

Providing a Credit
All visualizations are the creation of Peaceful Vibrations, and you must credit Peaceful
Vibrations with Sara Carapezzi with every public use. A credit will help to prevent you from
copyright claims.

License Fees
Once your full payment is received you will not have to pay any ongoing fees of any type.

Duration of License
This license has no expiry date. Provided that your payment is received in full and excepting any
instance in which you breach the terms of this license agreement, you can continue to use the
recordings indefinitely.

Grant of License
The license is granted to one person or to one business entity. If the purchaser is purchasing
recorded products from Peaceful Vibrations on behalf of a third party (the nominated licensee),
the purchaser hereby represents and warrants that: (i) the purchaser is authorized to act as an
agent on behalf of the licensee and has full power and authority to bind the licensee to this
agreement; and (ii) if the licensee subsequently disputes such power or authority, the
purchaser shall be bound and liable for any failure of the licensee to comply with
the terms of this audio license.

Intellectual Property and Copyright
Peaceful Vibrations is owned and operated by Sara Carapezzi. Any items purchased from this
website is licensed to you by Peaceful Vibrations and its copyright is protected by copyright law.
Except for your limited use of Peaceful Vibrations audio purchases, Peaceful Vibrations shall
have and retain the entire right, title, and interest in and to all intellectual property rights
arising from or relating to the content or copies of all recordings thereof. No ownership or
copyright in any sounds or music shall pass to you by issuance of this license. You cannot use
our trademarks, logos, artwork, samples, or images without prior written consent.

Warranty and Limitation of Liability
Peaceful Vibrations warrants that it has the necessary rights and authority to grant you the
rights outlined in this license. Peaceful Vibrations does not make any other warranties, express
or implied, regarding the recordings or its delivery systems, including, without limitation, any
implied warranties of fitness for a particular purpose. Peaceful Vibrations shall not be liable to
you or any other person or entity for any punitive, special, indirect, consequential, incidental, or
other similar damages, costs or losses arising out of your use of the recordings, even if Peaceful
Vibrations has been advised of the possibility of such damages, costs, or losses. Nor shall
Peaceful Vibrations be liable for any damages, costs or losses arising as a result of modifications
made to the recording by you or the context in with the recording is used in your work.
Peaceful Vibrations liability shall in no event exceed the actual price paid for the audio license.

Indemnification
You shall indemnify, defend, and hold the licensor harmless from any and all claims, losses,
costs, damages and expenses resulting from or arising out of (a) your breach of this agreement;
(b) your unauthorized use of the recordings; (c) any claims from anyone listening to the
visualization of mental or emotional distress; (d) your activities after the licensor has notified
you that such activities may result in the infringement of the intellectual property rights of any
third party; or (e) any claim that the recordings or the use thereof infringes upon,
misappropriates or violates any patents, copyrights, trademarks, trade secret rights or other
proprietary rights of a third party.

Unauthorized Use and Termination
Any use of the Peaceful Vibrations audio recordings in a manner not expressly authorized by
these license terms (including, without limitation, use of the audio by more than one (1) user
without the purchase of additional licenses, constitutes copyright infringement, entitling
Peaceful Vibrations to exercise all rights and remedies available to it under copyright laws
throughout the world. Peaceful Vibrations shall have the right to terminate your right to use
the recordings immediately upon your breach of these license terms. Upon termination, you
shall cease using the recordings and shall delete or destroy all copies of them. Termination of
your rights shall not limit Peaceful Vibrations from pursuing any other remedies available to it,
including, but not limited to, injunctive relief, nor shall termination relieve you of your
obligations to pay Peaceful Vibrations an applicable license fees. You shall be responsible for
any damages resulting from any such copyright infringement, including any claims by a third
party.

Privacy
We take our customers’ privacy seriously. At no time will your personal details or email
address be passed on to any other company. We do not see, nor do we retain any financial data
such as credit card numbers. These are gathered and processed securely by our e-commerce
partners.

Refund Policy
Please choose your recordings carefully. It is not possible for us to refund or exchange any
product that has already been downloaded. Once the download has taken place, the purchase
is final.
